Laminate flooring....over existing pine? Or remove existing first?

Hi guys, I have a 20yr old solid wood pine floor throughout my house and I want to replace with white oak laminate. The existing floor is in good condition with no obvious issues.
My question is what would be the pros and cons of laying the new 10mm laminate directly over it. Also would I still require underlay too?
